This permission does not transfer any ownership or intellectual property rights to you.
2.3 Prohibited conduct

- Use the Site for any unlawful, fraudulent, misleading, or unauthorized purpose;

3.2 Yirox brand
The Yirox name, logo, product presentation, visual identity, slogans, and related brand elements are trademarks, trade names, or other proprietary identifiers of Wuxi Yirox Auto Parts Co., Ltd. or its licensors.
No provision of these Terms grants you a right or license to use the Yirox name, logo, or other brand assets in advertising, product listings, domain names, social media accounts, company names, promotional materials, or other commercial communications without our prior written approval.
3.3 Third-party trademarks
Third-party company names, vehicle brands, product names, trademarks, and logos referenced on the Site remain the property of their respective owners.
References to third-party vehicle brands or models may be used solely to describe product fitment, compatibility, intended application, or market relevance. Such references do not imply sponsorship, authorization, endorsement, partnership, or affiliation unless expressly stated in writing.
3.4 OEM/ODM projects
Ownership and permitted use of customer drawings, molds, tooling, packaging designs, technical specifications, samples, private-label materials, and other intellectual property used in an OEM/ODM project will be governed by the applicable quotation, purchase order, manufacturing agreement, tooling agreement, non-disclosure agreement, or other written contract between the parties.
These Terms do not override separately executed OEM/ODM, confidentiality, tooling, intellectual property, or manufacturing agreements.
4. Product Information
4.1 General product information
We make reasonable efforts to present accurate and current product information. However, product descriptions, dimensions, materials, colors, specifications, images, packaging details, minimum order quantities, lead times, certifications, availability, and other Site content are provided for general reference only.
Website content does not constitute a contractual product specification unless it is expressly incorporated into a written quotation, order confirmation, purchase order accepted by us, or signed commercial agreement.
4.2 Images and samples
Product images, renderings, diagrams, and videos may differ from the final product because of lighting, screen settings, product updates, customization requirements, production batches, or differences between samples and mass production.
Approved samples, signed specifications, technical drawings, order confirmations, and other agreed commercial documents will take precedence over general website images and descriptions.
4.3 Product changes and availability
We may update, modify, replace, suspend, or discontinue any product, component, material, specification, packaging format, certification status, or service displayed on the Site without prior notice.
We do not guarantee that every product displayed on the Site is continuously available or available in every market.
4.4 Fitment and compatibility
Vehicle fitment and compatibility information is provided as general guidance. Before placing an order, the buyer is responsible for confirming:

5. Quotations, Orders, and Commercial Transactions
5.1 No binding offer on the Site
Product information, pricing indications, minimum order quantities, estimated lead times, and other commercial information displayed on the Site do not constitute a legally binding offer.
Submitting an inquiry, catalog request, sample request, or quotation request does not create an obligation on either party to enter into a transaction.
5.2 Quotations
Unless a quotation expressly states otherwise, quotations issued by us:
- Are based on the specifications, quantities, materials, packaging, delivery terms, and other information available at the time;
- Remain subject to their stated validity period;
- May be revised if the customer changes the specifications, quantity, delivery requirements, or other relevant conditions;
- Do not create a binding sales contract until accepted and confirmed in writing in accordance with the applicable commercial documents.
5.3 Formation of a sales contract
A product order becomes binding only when the parties enter into a signed contract or when we issue a written order confirmation expressly accepting the applicable purchase order.
Acknowledgment that we have received an inquiry or purchase order does not by itself constitute acceptance.
5.4 Separate sales terms
All purchases, samples, custom developments, tooling projects, OEM/ODM programs, and other commercial transactions may be subject to additional documents, including:

- General Terms and Conditions of Sale;
- Product specifications;
- Quality agreements;
- Manufacturing agreements;
- Tooling agreements;
- Non-disclosure agreements;
- Warranty terms;
- Other separately agreed commercial contracts.
Where there is a conflict, the specifically negotiated and signed commercial agreement will take precedence over these Terms with respect to the relevant transaction.
These Terms primarily govern use of the Site and do not replace the terms agreed for a particular order.
6. Information Submitted by Users
When submitting an inquiry, quotation request, catalog request, contact form, drawing, specification, file, or other information through the Site, you represent that:
- The information is accurate and not misleading;
- You are authorized to submit it;
- Its submission does not violate any confidentiality obligation, intellectual property right, privacy right, export-control rule, or other applicable requirement;
- It does not contain malicious code or unlawful content.

Nothing in these Terms requires either party to take an action prohibited by applicable law.

Any separately signed sales, manufacturing, OEM/ODM, distribution, confidentiality, or other commercial agreement may specify a different governing law, court, or arbitration arrangement. In that case, the dispute-resolution provision in that agreement will govern disputes arising from that agreement.
15. General Provisions
15.1 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be limited or removed only to the minimum extent necessary. The remaining provisions will continue in effect.
15.2 No waiver
Our failure or delay in exercising any right or remedy does not constitute a waiver of that right or remedy.
A waiver is effective only when confirmed by us in writing and applies only to the specific matter for which it is given.
15.3 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations in connection with a corporate restructuring, merger, acquisition, transfer of business, or transfer of the Site, subject to applicable law.
